A Senior Counsel operates as a subject matter expert with regard to legal matters that arise on a day-to-day basis related to commercial contracts.

Duties/Responsibilities


  • Work closely with internal sales team as well as vendors andcustomers to mitigate risk.





  • Draft,reviewingand negotiating a variety of contracts, including hardware, software, professional services, subcontractor, non-disclosure, and vendoragreements.





  • Lead contract negotiations with sophisticatedcounter-parties.





  • Propose andassistwith developing tools to improve contractual processes anddocumentation.





  • Train and managelawyers.





  • Manage outside counsel as assigned and asneeded.





  • Manage and respond to disputes related to contracts with opposing parties.





  • Create and update templates and processes as necessary.





  • Assess and minimize sources of risk, withappropriate escalationsas necessary.





  • Other job duties as assigned.



Education and Experience


  • Minimum Required - Juris Doctor, member of good standing of a state bar, at least 5 years of legal experience.





  • Preferred - Experience in one or more of these areas is preferred and should be highlighted in resume: commercial contract negotiation, government contracts, data security, litigation.



Knowledge, Skills, Abilities


  • Experience in a contracts group, as in-house counsel, or in corporatelaw.





  • Experience managing people.





  • Expertisein drafting and reviewing a broad range of commercial contracts, with a focus on technologycontracts.





  • Ability to juggle high volume and multiple projects, which will requiretimelydecisions.





  • Customer/client-focusedorientation.





  • Strong analytical skills and verbal and written communicationskills.





  • Excellent business judgment, attention to detail, and self-motivation.





  • Must be a member in good standing of a state Bar.

The compensation range indicated in this posting reflects the On-Target Earnings ("OTE") for this role, which includes a base salary and any applicable target bonus amount. This OTE range may vary based on the candidate's relevant experience, qualifications, and geographic location.
