A Senior Counsel operates as a subject matter expert with regard to legal matters that arise on a day-to-day basis related to commercial contracts. Duties/Responsibilities Work closely with internal sales team as well as vendors andcustomers to mitigate risk. Draft,reviewingand negotiating a variety of contracts, including hardware, software, professional services, subcontractor, non-disclosure, and vendoragreements. Lead contract negotiations with sophisticatedcounter-parties. Propose andassistwith developing tools to improve contractual processes anddocumentation. Train and managelawyers. Manage outside counsel as assigned and asneeded. Manage and respond to disputes related to contracts with opposing parties. Create and update templates and processes as necessary. Assess and minimize sources of risk, withappropriate escalationsas necessary. Other job duties as assigned. Education and Experience Minimum Required - Juris Doctor, member of good standing of a state bar, at least 5 years of legal experience. Preferred - Experience in one or more of these areas is preferred and should be highlighted in resume: commercial contract negotiation, government contracts, data security, litigation. Knowledge, Skills, Abilities Experience in a contracts group, as in-house counsel, or in corporatelaw. Experience managing people. Expertisein drafting and reviewing a broad range of commercial contracts, with a focus on technologycontracts. Ability to juggle high volume and multiple projects, which will requiretimelydecisions. Customer/client-focusedorientation. Strong analytical skills and verbal and written communicationskills. Excellent business judgment, attention to detail, and self-motivation. Must be a member in good standing of a state Bar. The compensation range indicated in this posting reflects the On-Target Earnings ("OTE") for this role, which includes a base salary and any applicable target bonus amount. This OTE range may vary based on the candidate's relevant experience, qualifications, and geographic location.
