The Legal Division is looking for an attorney to join our Prime Services and Securities Financing Transactions Legal team, which is part of the Global Banking & Markets Legal team. The role will be based in New York and will involve providing both transactional and advisory support for a number of different securities financing products (including Repo and Securities Lending), as well as the Prime Brokerage business unit.

The Firm's Repo desk and Prime Brokerage business, as well as other parts of the Firm, receive and provide funding in the form of securities financing transactions (e.g., repo, securities lending). These businesses require legal advice on the specific structure of these services, transactions and financing arrangements; legal expertise with respect to the use of various market infrastructure; work on legal questions related to a range of trading documentation; work on the legal aspects of new product development; implementation of strategic and regulatory change; and advice on all aspects of legal and reputational risk. The Prime & SFT Legal team work with a broad range of stakeholders, including the Repo desk, Prime business, Compliance, Risk, Controllers, and Operations.

RESPONSIBILITIES



  • Advising on all aspects of the securities financing businesses in the Americas, including repo, securities lending, and margin lending.
  • Giving strategic advice to business leadership on a range of reputational and regulatory issues; in particular, advising internal Business, Funding, and Risk groups on potential regulatory change and broader financial industry developments (including in connection with implementation of mandatory US Treasury clearing).
  • Assisting with the negotiation and drafting of transactional documents, including coordination with internal negotiation teams and management of external counsel.
  • Advising on the implementation of and ongoing compliance with key relevant regulations and associated obligations.


SKILLS, EXPERIENCE AND QUALIFICATIONS



  • 5 plus years of legal experience post law school.
  • Existing knowledge of securities financing transactions (including repo, securities lending, and margin lending) and associated regulation.
  • Existing knowledge of secured creditor laws, including UCC Articles 8 and 9
  • Ability to apply legal concepts to complex scenarios and explain them in an understandable way.
  • Excellent communication skills, both oral and written.
  • Dynamic approach, with an intellectual curiosity that will enable you to develop within the role and effectively identify legal issues and/or risk.
  • Team oriented, with the ability to work within a collegiate environment with multiple stakeholders across different locations.
  • Ability to prioritize work effectively, be proactive in a challenging business environment and to respond to client demands in a timely manner.
