Job Description

The Allstate Corporation is seeking an experienced paralegal to join our Securities Law team. The position will play a critical role in maintaining our compliance with applicable securities laws and supporting a variety of corporate governance initiatives.

The ideal candidate will have relevant experience with public company reporting, capital markets transactions, and other corporate governance functions and will be motivated, proactive, highly organized, and detail oriented.

Key Responsibilities:

  • Support Allstate's SEC reporting (Form 10-K, 10-Q, 8-K) and other public disclosures and ongoing compliance with applicable legal requirements: maintain quarterly disclosure checklists, manage communications to and information gathering from subject matter experts, proofread disclosures, and maintain records and archives in accordance with records retention requirements.

  • Assist with capital markets transactions: manage data room and due diligence process, maintain working group list and closing checklists, draft closing certificates, assist with drafting of documents and updating disclosures.

  • Support Allstate's internal compliance with insider trading laws and policy: maintain list of insiders, prepare compliance communications, track and prepare Section 16 ownership reporting (Forms 3, 4 and 5).

  • Conduct, summarize, and analyze complex research, including gathering facts, researching and analyzing applicable laws, regulations, and case laws, etc., and use online research tools for peer company benchmarking.

  • Review new and proposed legislation and agency rulemaking; assist with preparing analysis, status reports, and communications to internal stakeholders.

  • Administration of third-party electronic platforms for maintaining Section 16 ownership reporting.

  • Effectively collaborate with key stakeholders on projects across the enterprise.

  • Provide additional support to Allstate's Corporate Governance functions (e.g., drafting documents related to subsidiary entities, including formation documents, by-laws, operating agreements, board and committee meeting agendas and minutes, written consents, domestic and foreign annual report filings and other compliance documentation, and incumbency and officer certificates).

Education & Experience:

  • Bachelor's degree

  • 5+ years of paralegal or corporate governance experience, with 3+ years in securities and capital markets functions at a law firm or a U.S. publicly traded company (preferred).

Skills and Additional Experience:

  • Fluency with SEC reporting and other public company disclosures; familiarity with financial terms and concepts.

  • Strong analytical, research, and organizational skills.

  • Meticulous attention to detail and proofreading abilities.

  • Proven project management and time management skills.

  • Collaborative and adaptable approach to teamwork.

  • Excellent written and verbal communication skills are a must, with the ability to communicate clearly and confidently with executives.

  • Proven ability to work independently and collaboratively, building strong relationships across teams.

  • A calm head and steady hand to deal with the unexpected.

  • Proficiency in Microsoft Office (Word, Excel, PowerPoint, Teams, Outlook, SharePoint).

  • Curiosity and openness to leveraging emerging technologies (including AI) to drive innovation.

  • Experience with SEC reporting platforms (EDGAR, Computershare Section 16 Manager, Workiva or comparable programs).

  • Licensed notary or willingness to become licensed (experience with remote/electronic notarization a plus).

Work Environment & Travel:

  • This position offers a remote/office work environment. While most work can be performed remotely, candidates must, as appropriate, be able to work from an approved Allstate office or an approved Allstate workspace ("pod"), which is a designated collaborative location.

  • Occasional travel may be required to support business needs.

  • Candidates located in or near Chicago, IL or Northbrook, IL are encouraged to apply.

Compensation

Compensation offered for this role is $29.81 - 44.71 per hour and is based on experience and qualifications.
