Position Summary:

SkyWater is looking for an experienced Corporate Counsel to act as primary legal advisor to support our procurement and supply chain relationships and transactions across all SkyWater sites and business units. In this role, you help will shape SkyWater's critical supplier ecosystem-negotiating complex capital-equipment, materials, and IT deals that fuel our domestic fabs.

Major Areas of Accountability:



  • Lead drafting and negotiation of procurement, supply chain, and IT agreements, including but not limited to, capital equipment, materials, maintenance, IT hardware/software, services, and construction agreements, in addition to other contracts and documents with suppliers, service providers, and related third parties.
  • Advise on trade regulations, tariffs, export/import requirements, and other regulatory and legal matters affecting semiconductor supply chains.
  • Support the development, implementation, and management of procurement and supply chain policies, procedures, and programs (e.g. supplier risk analysis and onboarding).
  • Act as escalation point for confidentiality agreements and other requests (supplier certifications, audits, etc.) related to SkyWater supplier relationships.
  • Proactively work to develop and improve SkyWater template agreements, contract playbooks, and contract/other processes.
  • Manage and ensure practices, transactions, and documentation comply with SkyWater policies and procedures, contract requirements, and government regulations.
  • Conduct legal research and prepare written opinions based on that research.
  • Support litigation and pre-litigation work to minimize risks and liability, and manage outside counsel to ensure the work, methodology, and strategy.


Perform other duties and special projects as assigned.

Required Qualifications:

Education: Juris Doctor Degree and active license to practice law in a state within which SkyWater operates.

Experience and Skills:



  • 5+ years in-house legal experience in the manufacturing or technology industry.
  • Substantial experience supporting procurement, supply chain, and information technology teams, including in complex contract negotiations.
  • Working knowledge of U.S. government contracting flow down provisions (e.g. FAR / DFAR).
  • Working knowledge of trade laws and import/export controls.
  • Desire and ability to self-identify and start projects.
  • Business acumen and an ability to provide legal advice in the context of business initiatives and goals.
  • Ability to exercise considerable judgment and discretion in dealing with confidential and sensitive issues.
  • Ability to handle multiple projects simultaneously and prioritize and reprioritize among them.
  • Resourcefulness and ability to work independently with minimal supervision.
  • Strong interpersonal and communication skills, both oral and written.
  • This role can be hybrid at one of our three locations in Austin, Texas or Bloomington, Minnesota or Kissimmee, Florida.



U.S. Citizen Required: This position will require the holding of or ability to obtain and maintain government security clearance which requires U.S Citizenship.

Preferred Qualifications:



  • Semiconductor or other advanced manufacturing industry experience.
  • Experience working with and supporting artificial intelligence (AI) tools.
  • Substantial trade compliance knowledge and experience.

The annual salary range for this role is $153,440 - $230,160. Pay offered is based on many factors including, but not limited to, the job-related experience, skills, education, and credentials of each candidate.
