US Valuations Manager (M&A), LPS

JOB OVERVIEW:

This position is responsible for supporting a high-volume, industry-leading sell-side advisory firm known for delivering exceptional results in complex M&A transactions. Responsible for driving financial modeling, valuation analyses, and Quality of Earnings (QoE) assessments across a diverse portfolio of transactions. Applies deep analytical expertise and business acumen to support deal execution and strategic decision-making. Maintains a high level of organization and attention to detail, leveraging prior experience in corporate finance or investment banking to contribute to the success of the advisory team.

KEY RESPONSIBILITIES:

  • Lead the creation and ownership of advanced financial valuation models supporting multi-million-dollar transactions, incorporating detailed revenue/expense analysis, EBITDA adjustments and scenario planning
  • Analyze financial documents including P&Ls, payroll data, balance sheets and revenue reports to ensure completeness, accuracy and defensible of client data
  • Identify and validate addbacks, normalization adjustments, and go-forward cost structures; provide strategic guidance to clients on how these impact enterprise value
  • Review and tie out supporting documentation to financial models, ensuring data integrity and alignment with transaction narratives
  • Collaborate directly with clients to explain financial assumptions, clarify variances and build a deep understanding of their business performance
  • Substantiate financial transactions by reviewing documents including proofing and tying out payroll, revenue reconciliation, P&L detail scrubbing and balance sheet review.
  • Problem solving when go forward expenses aren't captured in current financials and model accordingly
  • Reconcile financial information by collecting and analyzing bank account information.
  • Client facing review of expenses to confirm addbacks, go forward expenses and any variances to ensure accurate financial modeling while also educating clients on the impact that this has on their transaction.
  • Supporting deal team, through collaborativecreation and completion of virtual data room for sales process
  • Review and finalize completed valuations to send to supervisor (EVP of Finance & Operations) for review and approval
  • Quickly and accurately answer questions submitted by potential buyers regarding financial models, provide backup and source data for any significant adjustments to historical financials
  • Collaborating with external QoE teams, prospective buyers (DSOs), investment banks, and private equity firms
  • Review, researching and coaching clients on submitted questions before the management call.
  • Conduct thorough financial due diligence and valuation analyses through the QoE
  • Evaluate and analyze any differences in QoE results, reconciling with the QoE team when needed. In the case of decreases in value, confidently explain variances and causations to the client.
  • Cross trained in all areas of the financial analysis department, including taking incoming client valuation calls and preparing incoming client models.
  • Participates in special projects and performs other duties as assignedby the supervisor.

SPECIFIC KNOWLEDGE & SKILLS:

  • Computer knowledge: Word, Excel, Windows, Google Suite, Smartsheet as well as internet basics.
  • Deep understandingof accounting principles and financial statement preparation.
  • Familiarity with common accounting programs like QuickBooks.
  • Mathematical aptitude and computer applications skills required.
  • Deep understanding of Private Equity and their investments, particularly in multisite healthcare/dental space
  • Strong command of EBITDA normalization, proforma adjustments and scenario/sensitivity analysis

MINIMUM WORK EXPERIENCE:

Typically 8 or more years of increasing responsibility and complexity in terms of any applicable professional experience.

PREFERRED EDUCATION:

Typically a Bachelor's Degree or global equivalent in related discipline. Master's degree or global equivalent preferred. May hold two or more industry certifications.

TRAVEL / PHYSICAL DEMANDS:

Travel typically less than 10%. Office environment. No special physical demands required.
