Responsibilities: Assist with Securities and Exchange Commission (SEC) regulatory filings for spin-offs, carve-outs, Initial Public Offerings (IPOs), restatements, and debt offerings for domestic and cross-border transactions. Provide implementation assistance with new accounting requirements and financial restatements. Assess the impact and reporting of valuation events, including acquisitions, stock-based compensation awards, financial instruments, management or leveraged buyouts, and fresh-start accounting. Provide conversion services to U.S. and foreign registered companies that require changes in financial reporting to U.S. Generally Accepted Accounting Principles (GAAP) and International Financial Reporting Standards (IFRS). Provide transaction-oriented accounting and reporting assistance for mergers and acquisitions, divestitures, capital raising, and financing structures. WORK SCHEDULE: 40 hours per week, M-F (9:00 a.m. - 5:00 p.m.) JOB REQUIREMENTS: Bachelor's degree in Accounting or related field plus seven (7) years of experience in the offered position or a related occupation. Alternatively, employer will accept a master's degree plus three (3) years of experience. Three (3) years of experience must include: U.S. GAAP; IFRS; revenue recognition; financial instruments; SEC financial reporting, including Forms S-1/F-1, S-4/F-4, and DEF14; IPOs; and Special Purpose Acquisition Companies (SPAC). Telecommuting may be permitted within commutable distance from the office location depending on business need. LICENSE REQUIREMENT: Licensed CPA or CPA equivalent required. TRAVEL REQUIREMENT: Up to 100% travel to various domestic locations per business need.
