ABOUT THE JOB: Responsibilities The responsibilities for this role will focus on (i) the Company's quarterly and annual SEC filings (10-Q, 10-K, 8-Ks, etc.), (ii) valuation and purchase accounting for Merger and Acquisition (M&A) activities, and (iii) technical accounting for complex transactions. This role is located in Baltimore, MD and is hybrid (3days/week in the office). WHAT YOU'LL BE DOING: Key responsibilities include: - Timely and accurate preparation and review of quarterly and annual financial reporting on Forms 10-Q, 10-K, 8-Ks, and other SEC filings, including completion of disclosure checklists to ensure filings are prepared in compliance with applicable requirements. - Preparation and filing of Form 11-K, the annual report for the Company's 401(k) employee savings plan. - Monthly preparation of equity and stock-based compensation accounting. - Quarterly preparation of calculations of basic and diluted earnings per share. - Quarterly preparation of going concern assessment. - Preparation of valuations for goodwill and intangible asset impairment testing. - M&A activities, including: - Documenting transaction details and related accounting and reporting treatment - Performing testing procedures over sellers' data - Valuing tangible and intangible assets - Research and document technical accounting matters to determine proper accounting and reporting treatment in accordance with US GAAP and SEC rules and regulations. - Ensure compliance with internal control requirements. - Review recent accounting pronouncements and SEC rules and regulations and document their applicability and impact on the Company. Support the implementation of any new accounting pronouncements, rules, and regulations. - Collaborate with internal and external auditors on quarterly reviews, the annual audit, and internal control over financial reporting. - Contribute to additional projects and assignments as needed. EDUCATION AND QUALIFICATIONS: Bachelor's degree in accounting CPA required 3+ years of public accounting, public company reporting, or technical accounting experience Strong understanding of generally accepted accounting principles and the ability to apply GAAP to new and existing transactions Excellent interpersonal and organizational skills and attention to detail Excellent verbal and written communication skills Positive, motivated contributor to the Company's fast-paced, rapid-growth, all-hands-on-deck atmosphere Disclaimer: This posting describes the general nature and level of work performed and does not represent an exhaustive list of responsibilities, duties, or skills required.
