Job Description

Position: Corporate Counsel

Job Type: Full-Time, Hybrid In-Office/Remote

Location: Horsham, PA or Pittsburgh, PA

TMS International is the leading provider of on-site, industrial steel mill services for steelmakers around the world. At TMS, our people, services, technology and equipment provide invaluable resources that support and enhance our partners' entire manufacturing operations.

The company has a small tight-knit legal department without strictly defined boundaries - all members work across practice areas to support each other and the business. We are seeking a general corporate practitioner to handle a wide range of legal issues affecting the company, including employment, litigation, finance, marketing, operations, and health, safety and environmental matters.

Primary Responsibilities:

- Assist or lead the review, negotiation and/or drafting of a large variety of legal documents and commercial contracts including long-term mill services contracts, brokerage agreements, procurement contracts, intracompany agreements, non-disclosure agreements, etc.

- Provide timely and thoughtful guidance, direction, and assistance in a wide variety of legal matters to various internal business units.

- Work directly with managers and company leadership to support daily business operations.

- Advise internal colleagues in a manner that advances the company's strategy while addressing legal and regulatory risks and preserving and protecting the company's integrity and reputation.

- Assist in the management of litigation matters and disputes, including coordination of internal responses and interfacing with outside counsel.

- Advise the Health, Safety & Environmental Department with respect to various legal issues.

Additional Qualifications:

- Experience with the steel industry or heavy industrial settings preferred.

- Agility and willingness to learn about various subject matters (both from a legal and business perspective) are highly valued.

- Business-focused mindset, with sound judgment and commitment to ethical conduct.

- Excellent verbal and written communication skills.

- Strong work ethic and willingness to take on a wide range of projects and responsibilities.

- Proactive, detail oriented, and able to prioritize while handling multiple tasks.

- High degree of organizational skill and attention to detail.

- Availability to travel from time to time, as needed.

Required Education and Professional Qualifications:

- 5+ years' experience in a law firm or in-house legal department at a mid-to-large size company.

- Law degree from an ABA accredited law school.

- Must be a member in good standing of the Bar of the Commonwealth of Pennsylvania, or eligible for reciprocity admission at the time of hire.
